As a Legal Counsel, you will be responsible for supporting the business in the provision of legal advice and direction in a range of areas including regulatory and compliance, privacy compliance programs, corporate/commercial and service agreement negotiations and drafting.

Duties and Responsibilities:

● Work closely with the Group General Counsel to support the various divisions within the group with the provision of legal advice and support.

● Reviewing, drafting, and negotiating a wide range of commercial contracts, including service

agreements, vendor contracts, variations, NDAs, and data processing agreements, with a focus on risk mitigation and assisting managers in contract negotiations.

● Support the growth of the business by assisting in the preparation of tender responses, particularly in relation to legal and contractual aspects. This includes reviewing and advising on service contracts that form part of tender documents, drafting legal departures and qualifications, and ensuring compliance with Probe standard service contract requirements.

● Where required, develop precedents and contract review checklists to support key stakeholders in managing service contracts.

● Provide ad hoc advice and direction to management on a range of matters including regulatory and compliance matters.

● Keep key stakeholders informed on relevant changes in laws, regulations and case law to ensure the company remains compliant and assist in the drafting of monthly Compliance Insights Updates.

● Assist with management of the company’s compliance framework and develop relevant compliance checklists, bulletins, information sheets and training content where required. Support the Group Compliance Manager in the development of compliance initiatives.

● Any other functions which are necessary for the in-house legal services team to ensure company

compliance with its legal & statutory obligations.

● Ensure a safe, healthy and sustainable workplace for all employees and contractors, report workplace hazards, and provide a safe and positive workplace.

● Complete all necessary training requirements and professional development opportunities.

Qualifications:

● Must be a Licensed Lawyer

● With at least 4 years of related work experience

● May be required to travel and work across various sites in Manilla
